Terms of business
The basis on which we quote, supply and ship.

Quotations
Every quotation we issue states a validity period. Quotations are valid only within that period, because distributor pricing, freight rates and exchange rates all move.
A quotation is an invitation to proceed, not a binding contract. A contract is formed when we issue a proforma invoice and you accept it on the stated terms.
Pricing and landed cost
Where we quote a landed cost, the components — goods, freight, insurance, duty, tax, clearing and inland delivery — are itemised in the quotation, together with the incoterm that governs which party bears each.
Duty and tax figures are prepared on the basis of the classification applicable to the goods at the time of quoting. Where a destination authority assesses differently, we will tell you promptly and set out the difference.
Payment
Orders are payable against a proforma invoice on the milestone terms stated in it. We do not begin procurement until the funding condition stated on the invoice has been met.
Our banking details are stated on the proforma invoice. We will never notify a change of banking details by email alone. If you receive such a request, do not act on it — contact us on a number you already hold and confirm by voice.
Delivery and risk
Lead times stated in a quotation are estimates based on supplier availability and typical transit and clearance times. They are not guarantees, and customs clearance timelines are outside our control.
Risk and responsibility pass according to the incoterm stated on the quotation and proforma invoice.
Compliance
All supply is subject to applicable export control and sanctions law. We screen counterparties, and we may decline or halt an order where we are not satisfied that it can proceed lawfully.
